Private Standard Office (Annual) Terms & Conditions

These Terms and Conditions (the “Agreement”) govern the use of the The Station by Moonshot Coworking Space (the “Premises”) located within the facility operated by Moonshot edVentures, a Colorado nonprofit corporation (“Moonshot”). By signing up for membership, reserving space, or otherwise using the Premises, the individual or organization (“Member”) agrees to be bound by this Agreement, along with any house rules, policies, and membership terms specific to the Member’s plan, which are incorporated herein by reference.

1. Membership and Term

1. Membership type, fees, and billing schedule are set forth in the Member’s membership plan or order form, which forms part of this Agreement.

2. Membership begins on the start date specified in the Member’s plan and continues on a recurring basis unless earlier terminated as provided herein.

3. This Agreement is at all times subject to the underlying lease governing the facility in which the Premises are located, including any rules and regulations contained therein. By signing this Agreement, the Member acknowledges that applicable lease requirements may apply to their use of the Premises and agrees to abide by them.

4. The Member is responsible for providing its own supplies and equipment for its use of the Premises.

5. Access. Access to the Premises is provided according to the Member’s plan. The building alarm is armed during evenings, weekends, and outside standard business hours. Members must use the designated access code or method to disarm the alarm upon entry and re-arm it upon exit, where applicable.

6. The Premises and facility must be left clean and orderly after each use. Members may not access or permit others to access areas of the facility not designated for their use, or use the Premises outside of permitted hours.

2. Signage

To the extent allowable under the underlying facility lease, Members may elect to have signage on private offices or dedicated desks at their own cost, subject to Moonshot’s prior written approval.

3. Payment

Membership fees and any other amounts due must be paid according to the schedule and method specified in the Member’s plan.

4. Late Payment

A late fee may apply if payment is not received within the timeframe specified in the Member’s plan. Late charges may accrue additional interest up to the maximum amount permitted by law.

5. Key Holder Agreement

All key fobs, access cards, and storage keys issued to a Member remain the property of Moonshot and must be returned upon request or at the end of membership. The Member is responsible for the cost of replacing any lost or stolen access devices issued to them.

6. Parking

Members have access to first-come, first-served parking in areas of the Common Areas designated for parking, shared with other tenants and visitors to the facility, at no additional cost unless otherwise specified.

7. Common Areas

“Common Areas” means all areas and facilities, inside and outside the building, designated from time to time for the general non-exclusive use of tenants, members, and their respective employees, customers, and invitees, including parking areas, trash areas, walkways, lobby areas, restrooms, landscaped areas, and shared amenities such as kitchens and conference rooms.

Moonshot, or the building landlord, reserves the right to modify, temporarily close, or permanently remove Common Area amenities at any time, provided such changes do not materially interfere with a Member’s use of the Premises. Moonshot is under no obligation to provide any particular Common Area amenity at any time.

8. Noise

Members understand that some reasonable amount of noise from general office activity and occasional events is expected. Members agree not to make excessive noise that disrupts other tenants or members.

9. Mail Delivery and Pickup

Mail handling procedures, including format and pickup schedules, will be communicated to Members by Moonshot. The mail system is designed to handle business mail only.

10. Alterations

Members may not alter the Premises in any manner — including painting, drilling, fastening items to walls or surfaces, or placing signs or displays — without Moonshot’s prior written approval. Members also agree not to alter Moonshot-provided electronics, furnishings, or other property without prior written approval.

11. House Rules

Members agree to comply with all house rules, which may be amended from time to time and are deemed part of this Agreement, including the following:

a. Security

The building remains locked outside of standard business hours and on designated holidays, and the alarm is armed during specified overnight hours. Members should be prudent with personal valuables. Members are responsible for ensuring doors are fully closed and locked when they are the last to leave.

b. Conference Rooms

Members may reserve shared conference rooms in accordance with their membership plan and any posted booking procedures. Members are asked to be respectful of others when scheduling shared resources.

c. Noise and Phone Calls

In open office areas, Members are expected to keep noise to a minimum. Phone calls should be taken in designated phone booths or outside the office where available.

d. Printer and Scanner

Members may use shared printing and scanning equipment in accordance with usage allowances and any applicable rates set out in their membership plan. Charges beyond included allowances will be billed according to Moonshot’s standard billing process.

e. Snacks and Kitchen

Members are welcome to use shared lounge and kitchen amenities where provided. Members are asked to clean up after themselves and be considerate of shared supplies.

f. Refrigerator Use

Personal food items should be removed from shared refrigerators by the end of each week. Items left beyond posted timeframes may be discarded.

g. Visitors

Members may receive visitors and must sign them in. Members are responsible for their visitors at all times while on site and for ensuring visitors comply with this Agreement and house rules. Extended or frequent visitor access beyond what is reasonable for normal business use requires advance approval from Moonshot.

h. Lawful Activities

Members must comply with all applicable federal, state, and local laws and may not engage in or permit unlawful activity at the facility.

i. Drugs, Tobacco, and Firearms

The use of tobacco, vaping, and illegal or unprescribed drugs is strictly prohibited anywhere on the property. Alcohol may be permitted for special occasions with Moonshot’s advance written approval. Firearms are not permitted on the property at any time.

j. Storage

Members may not store supplies or equipment anywhere at the facility without Moonshot’s prior written approval.

k. Fire Compliance

Open flames, candles, and similar items are not permitted. All applicable fire and safety regulations must be observed, and occupancy must not exceed the facility’s approved capacity.

l. Damage and Cleanliness

Members are responsible for returning any areas they use to the condition in which they were received. Any damage must be reported to Moonshot immediately. The cost of repairs resulting from a Member’s use, or any required cleaning beyond normal wear, may be charged to the Member.

m. Technology Use

Any Moonshot-provided technology, including internet, computers, printers, copiers, phones, software, and email systems, remains Moonshot’s property and must be used for lawful and appropriate purposes only. Moonshot reserves the right to review information created, stored, or accessed through its technology. Inappropriate, unprofessional, or unlawful conduct involving Moonshot technology may result in termination of membership.

12. Changes and Termination

This Agreement may be modified, terminated, or revoked by Moonshot upon 60 days’ written notice. Moonshot may terminate or revoke a Member’s access immediately in the event of a breach of this Agreement. Upon termination, the Member remains responsible only for fees incurred prior to termination, and any prepaid amounts will be refunded on a prorated basis.

13. Right of Entry

Moonshot may enter any area of the Premises at any time for any reason, including inspections, repairs, or emergencies. Members should have no expectation of privacy in their use of the Premises.

14. Assignment

Members may not transfer or assign their rights under this Agreement, or sublease or sublicense any portion of the Premises. Any attempt to do so may result in immediate termination of this Agreement.

15. Insurance

Moonshot’s insurance does not cover a Member’s personal property against damage, theft, acts of God, acts of others, or any other cause, and Moonshot is not liable for such losses.

Members may be required to maintain general liability insurance in amounts specified by Moonshot, naming Moonshot as an additional insured and certificate holder, with coverage details to be provided as part of the membership process where applicable.

16. Attorney Fees

In any legal action arising from this Agreement, the prevailing party is entitled to reimbursement of reasonable attorney’s fees and costs.

17. Confidentiality

Members agree not to discuss another tenant’s or member’s business with other tenants, mentors, workshop participants, or any other party, beyond information that is already publicly available.

18. Intellectual Property

Members agree not to use, copy, or otherwise infringe upon the intellectual property of other tenants or members of the coworking space. A Member found to have done so may be dismissed from the space and held liable for damages.

19. Interference

Moonshot may terminate a Member’s access immediately if the Member breaches this Agreement or interferes with Moonshot’s operations or another tenant’s or member’s business.

20. Visitors

This Agreement and the house rules apply to all visitors brought into the space by a Member. Members are responsible for their visitors’ compliance and for any damages caused by their visitors. Moonshot may terminate a Member’s access for visitor violations of this Agreement or house rules. Members are advised to obtain their own insurance to cover personal losses or losses caused by their visitors.

21. Other Tenants and Members

Existing tenants or members may raise concerns regarding prospective members with Moonshot, which will review such matters on a case-by-case basis.

22. General Provisions

This Agreement constitutes the entire agreement between the parties regarding use of the Premises and supersedes any prior representations or agreements. No waiver of any provision shall be effective unless made in writing. If any provision of this Agreement is found unlawful, void, or unenforceable, the remaining provisions shall remain in full force and effect.

This Agreement is governed by the laws of the State of Colorado, and any related legal action shall be brought in a court located in Colorado. Headings are for convenience only and do not affect interpretation. This Agreement may be executed electronically and in counterparts.

By signing up for membership or otherwise using the Moonshot Coworking Space, the Member acknowledges that they have read, understood, and agree to be bound by these Terms and Conditions, as well as any applicable house rules and membership plan terms.
